Agreement With Terms of Use

These Terms of Use state the terms and conditions by which users may use websites of National School Public Relations Association (“NSPRA”). This includes all websites with a root URL ending in or containing any variation the URL of “nspra.org” (“NSPRA websites”). For all purposes, the Terms of Use incorporate and include NSPRA’s current Privacy Policy.

PLEASE READ THESE TERMS OF USE CAREFULLY. IF YOU DO NOT AGREE WITH ANY PORTION OF THESE TERMS OF USE, DO NOT USE ANY OF THE NSPRA WEBSITES. BY ACCESSING AND USING AN NSPRA WEBSITE, YOU STATE AND SIGNIFY YOUR ACCEPTANCE TO BE BOUND BY THESE TERMS OF USE.

NSPRA reserves the right to update, amend, or modify these Terms of Use at any time and from time to time. Use of an NSPRA website following any such update, amendment or modification constitutes the users’ agreement to follow and be bound by the updated Terms of Use. Check this page frequently for any updates, amendments or modifications to the Terms of Use.

The terms “you,” “your,” “user,” “users,” “member user” and “member users” as used in these Terms of Use refer to all individuals and/or entities accessing an NSPRA website for any reason. The terms “NSPRA” and “we,” as used in these Terms of Use, refer to NSPRA, including its agents and employees.


Copyright Notice

NSPRA websites are collective works or compilations owned and operated by NSPRA. All original association materials on the NSPRA websites (e.g., text, graphics, logos, button icons, images, applets, video and audio clips, and software) are the property of NSPRA or its content suppliers and are protected by U.S. and international copyright, trademark and other laws.

NSPRA websites present a variety of viewpoints. The views expressed or implied on NSPRA websites, unless otherwise expressly noted, should not be interpreted as official positions of NSPRA.


Use of Websites

The following outlines acceptable and unacceptable uses of NSPRA websites:

  • Users may not copy, reproduce, republish, upload, post, transmit, sell or distribute any material, including content and graphics, on any NSPRA websites for any public or commercial purpose.
  • Users may download one copy of the original association content on any single computer for their personal, non-public, non-commercial use, provided that they keep intact all copyright and other proprietary notices.
  • Users may use e-mail addresses on NSPRA websites for personal, non-commercial use only. Use of these e-mail addresses for any other purpose is strictly prohibited.
  • Modifying original association materials or copying HTML code from NSPRA websites is a violation of NSPRA’s copyright and other proprietary rights.
  • Users may not use NSPRA websites in any manner that will infringe on the copyright, trademark, trade secret or other intellectual property rights of NSPRA or others or violate the privacy, publicity or personal rights of NSPRA or others.
  • Users may not use NSPRA websites to post, transmit, distribute, store or destroy material in violation of any applicable law or regulation.
  • Users may not use NSPRA websites to post or transmit material that is sexually explicit, defamatory, obscene, threatening, abusive, hateful or otherwise offensive.

If a user wishes to use any material posted on NSPRA websites for any purpose other than those authorized in these Terms of Use, such use must be with the prior express written consent of NSPRA. For more information, contact editorial@nspra.org.


The NSPRA Brand Marks

NSPRA’s brand marks (i.e., logo, mascot, tagline) is protected by certain laws of the United States and may not be used without NSPRA’s prior express written permission. NSPRA retains the exclusive right to grant or refuse permission to use its brand marks. For more information on NSPRA’s brand mark policy, contact editorial@nspra.org.


Other Brand Marks and Brand Names

Brand marks and brand names displayed on NSPRA websites are the exclusive intellectual property of their respective owners. These items are licensed to NSPRA but remain the property of their respective owners. The use of any third-party brand mark(s) on any NSPRA websites is not and shall not be deemed to be NSPRA’s endorsement of such third party.


Accuracy of Information

Though reasonable efforts have been made to ensure the accuracy of information on NSPRA websites, neither NSPRA nor its information contributors can be held responsible for any errors, inaccuracies or incomplete information contained therein. NSPRA reserves the right to correct, change or update any information on the NSPRA websites at any time without prior notice.


Advertising

From time to time, NSPRA displays advertisements or notices for its own programs and products on NSPRA websites. Additionally, NSPRA may accept paid banner advertising and/or paid listings to appear on selected pages of the NSPRA websites. The presence of such an ad or listing does not constitute an endorsement by NSPRA of a particular company or organization or its programs, products or services. Users link to or use any such programs, products and/or services at their own risk.


Disclaimer

The materials included in the NSPRA websites, whether directly or by link and whether directly or indirectly, are provided “as is,” including all faults, errors and omissions and without warranties of any kind, either expressed or implied. To the fullest extent permissible, pursuant to applicable law, NSPRA and its affiliates disclaim all warranties of merchantability and fitness for a particular purpose. NSPRA does not warrant that the functions contained in the NSPRA websites will be uninterrupted or error-free, that defects will be corrected, or that the NSPRA websites or the server that makes them available are free of viruses or other harmful components.

YOU USE NSPRA WEBSITES AT YOUR OWN RISK. IF YOU ARE DISSATISFIED OR DISAGREE WITH THE NSPRA WEBSITES OR THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE NSPRA WEBSITES.

Neither NSPRA nor any of its employees, directors, officers, agents, vendors or suppliers will be liable for any losses or direct, indirect, incidental, consequential, exemplary or punitive damages arising out of or in connection with the use of or the inability to use the NSPRA websites. Users agree to reimburse NSPRA for all losses, damages or expenses (including court costs and reasonable attorney’s fees) that NSPRA may incur as a result of any violation of these Terms of Use.


Use Outside of the United States of America

NSPRA makes no representation or warranty that the NSPRA websites or any of the information contained in the NSPRA websites may be available, accessible, lawfully accessed, transmitted, viewed, downloaded or otherwise used outside of the United States of America. Any user accessing the NSPRA websites from outside of the United States of America does so at their own risk and is solely responsible for compliance with the laws of the jurisdiction from which access is made.

Information on NSPRA websites may contain references or cross-references to NSPRA products, programs and services that are not announced or available in every user’s country. Such references do not imply that NSPRA intends to or has any obligation to announce such products, programs or services in the user’s country.


Links

NSPRA makes no representations or warranties whatsoever about any other website that users may access, link to or learn about through any of the NSPRA websites. When users access an external website from any of the NSPRA websites, they acknowledge and agree that such external website is independent from NSPRA, that NSPRA has no control over the content on or availability of that website, and that NSPRA shall not have any liability with respect to the user’s use of or access to such website.

A link or reference to an external website does not mean that NSPRA endorses, has, or accepts any responsibility for the content or the use of such external website. It is up to users to take all precautions to ensure that any and all of the websites they select for use, whether or not accessed by link or reference on NSPRA’s websites, are free of such items as viruses, worms, Trojan horses and other items of a destructive nature.

Companies or institutions may link to complete public pages of the NSPRA websites for educational purposes. Links to individual images, applets or other content are prohibited. If a link is contained within a frame, the link must open within a window that is occupied solely by the NSPRA webpage. Use of images from NSPRA websites to create buttons or highlight links to NSPRA is strictly prohibited.

Groups or persons who link to the NSPRA websites without clear evidence of instructional or educational intent will be directed to remove the link. No delay or inaction by NSPRA in this regard shall be deemed to be approval or a waiver by NSPRA. NSPRA reserves the right to request removal of any link it deems offensive or inappropriate, at any time and for any reason whatsoever, including for no reason.


Screen Shots

Companies or institutions may use screen shots of pages on the NSPRA websites for non-profit, non-commercial educational purposes, with NSPRA’s express written permission for one-time use. NSPRA encourages screen shots of the home page or front pages of major sections.


Security

Users are prohibited from violating or attempting to violate any or all security of the NSPRA websites.

YOU MAY NOT:

  • Access data not intended for you or log into a server or account that you are not authorized to access.
  • Attempt to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization.
  • Attempt to interfere with service to any NSPRA member, user, host or network including, without limitation, submitting a virus to one or more NSPRA websites, overloading, “flooding,” “spamming,” “mail bombing” or “crashing.”
  • Send unsolicited e-mail, including promotions or advertising of products or services, to e-mail addresses accessed through the NSPRA websites.
  • Forge any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting.
  • Use any device, software or routine to interfere or attempt to interfere with the proper working of any NSPRA websites or any activity conducted on the NSPRA websites.
  • Use or attempt to use any engine, software, tool, agent or other device or mechanism (including, without limitation, browsers, spiders, robots, avatars or intelligent agents) to navigate through or search the NSPRA websites.

Any action that imposes an unreasonable or disproportionately large load on NSPRA’s website infrastructure is prohibited. Violations of system or network security may result in civil or criminal liability. NSPRA will investigate such violations and may involve and cooperate with law enforcement authorities in prosecuting users who are involved in such violations.


Termination of Use

NSPRA and its representatives reserve the right to deny use of any or all NSPRA websites to any user for any reason without notification. Any violation of the Terms of Use or infringement of the rights of NSPRA or any sponsors of the NSPRA website may result in legal action against the violating user. NSPRA  may, in its sole discretion and at any time, modify or terminate any one or more of the NSPRA website and remove or refuse to post any information, content, materials or other offering.


Disclaimer of Warranties

YOU AGREE THAT YOUR USE OF NSPRA.ORG AND ITS PRODUCTS AND SERVICES IS AT YOUR OWN RISK.

The materials in, access to, and use of the NSPRA websites and services is provided “as is,” without warranties of any kind, whether expressed or implied, to the fullest extent permissible by law. NSPRA and the NSPRA websites disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. Neither NSPRA nor the NSPRA websites warrant that the functions, products or services of the NSPRA websites will be uninterrupted or error-free, that defects will be corrected, nor that the site or its service will be free of viruses or other harmful components. Furthermore, the site disclaims any warranties for other services, content or goods received through or advertised on the site or accessed through any links on the site. Applicable law may not allow the exclusion of implied warranties, so the above exclusion may not apply to you.


Limitation of Liability

Under no circumstances, including but not limited to negligence, shall NSPRA or the NSPRA websites nor any of its/their respective employees, agents or contractors be liable for any losses or expenses of whatever nature and howsoever arising, including without limitation direct, indirect, incidental, special, consequential, exemplary or punitive damages, loss of use, loss of data, loss caused by a virus, loss of income or profit, loss of or damage to property or person, any decision made by you or action taken by you in reliance upon any content, claims by NSPRA or any third parties, or other losses of any kind or character, that result from the use of or the inability to use the NSPRA websites, its content, or from any of the service, even if the site or an authorized representative or the site has been advised of the possibility of such damages. Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages, so the above limitation or exclusion may not apply to you. In no event shall NSPRA and the NSPRA websites’ total liability to you, any user, or third party for all damages, losses, and causes of action, whether in contract, tort (including but not limited to negligence), or otherwise exceed the amount paid by you, if any, to NSPRA or the NSPRA websites for purpose of accessing the service or content provided on the NSPRA websites or otherwise made available via the NSPRA websites.


Indemnity

Users agree to indemnify and hold NSPRA, the NSPRA websites, and their respective officers, employees and agents harmless from and against any and all liabilities, demands, claims and expenses, including reasonable attorney’s fees and court costs, arising from any breach of NSPRA’s Terms of Use and/or Privacy Policies, from your use of or access to the NSPRA websites, including but not limited to any content submitted to or accessed from the NSPRA websites.


Consent to Use of Photographic Images and Video Policy

NSPRA reserves the right to use photographs and video taken at NSPRA events for marketing purposes including, but not limited to, on social media, on our various websites and in print and/or e-mail marketing campaigns. By registering for an NSPRA event, you authorize NSPRA to use your likeness without additional permission for these purposes.


Other

These Terms of Use and the Privacy Policy shall be governed by and construed in accordance with the laws of Maryland without regard to its conflict of law provisions. Users agree that any action at law or in equity arising out of or relating to the Terms of Use or the Privacy Policy or to the use of any of the products, services, or content on the NSPRA websites shall exclusively be filed in the state or federal courts located in Maryland and users hereby consent and submit to the personal jurisdiction of such courts for all such purposes.

Furthermore, in the event NSPRA seeks legal action to enforce the provisions of these Terms of Use or the Privacy Policy, the substantially prevailing party in such matter shall be entitled to recover reasonable attorney’s fees and related court costs from any substantially non-prevailing party. If any provision of these Terms of Use or the Privacy Policy shall be deemed to be unlawful, void or for any reason unenforceable, then such limited provision shall be deemed severable from the Terms of Use and/or Privacy Policy and shall not affect the validity and enforceability of any remaining provisions of the Terms of Use and Privacy Policy.

Users agree that regardless of any law or statute to the contrary, any claim or cause of action arising out of or relating to the use of the NSPRA websites and the Terms of Use must be filed within one (1) year of the date the claim or cause of action arose or be barred as untimely. The failure to insist upon or enforce strict performance of any provision of these Terms of Use shall not be construed as a waiver of any provision or right.

THESE TERMS OF USE, TOGETHER WITH THE PRIVACY POLICY, AS THE SAME MAY BE AMENDED FROM TIME TO TIME, CONSTITUTE THE ENTIRE AGREEMENT BETWEEN YOU AND NSPRA AND THE NSPRA WEBSITES RELATING TO THE SUBJECT MATTER CONTAINED HEREIN AND SHALL NOT BE MODIFIED EXCEPT AS PROVIDED HEREIN OR IN WRITING SIGNED BY THE SITE.

In the event of any dispute between the Terms of Use and the Privacy Policy, the provisions of the Terms of Use shall control.
